Plain-Language Summary (TL;DR)

These Terms govern your relationship with UndoDisk — the company, website, and services. The separate EULA governs the software license.

• Your data stays on your computer. UndoDisk never uploads your files, drive contents, or recovery results to remote servers.
• Use the software lawfully. Don’t use it for illegal purposes or to build a competing product.
• We own our IP; you own your data. We own the software, website, and documentation. You own everything you scan and recover.
• Ontario, Canada law applies. Consumer-protection savings clauses preserve your local rights.

1. Acceptance

By accessing, downloading, installing, or using UndoDisk software, visiting undodisk.com, or using any UndoDisk services, you agree to these Terms. If you do not agree, do not use UndoDisk. You represent that you are at least 18 years of age or the age of majority in your jurisdiction.

2. Scope

These Terms govern the UndoDisk website, online services (license activation, telemetry, crash reporting), documentation, and support. The EULA governs the software license separately — including license grant, tiers, warranty disclaimers, and limitation of liability for software use. In the event of conflict, the EULA governs license matters; these Terms govern service matters.

3. User Obligations

• Use the Software and Services only for lawful purposes
• Do not access, scan, or recover data from devices you do not own or are not authorized to access
• Do not reverse-engineer, decompile, or derive source code from the Software, except as permitted by mandatory statutory exceptions
• Do not use bots, scrapers, or automated tools to access the Website or license server
• Do not circumvent license restrictions, free-tier limits, or security features
• Do not redistribute, sublicense, or transfer the Software except as the EULA permits
• Do not use the Software for competitive analysis or to build a competing product without written consent
• Do not provide data-recovery services to third parties without an Enterprise license (EULA §14)
• Comply with all applicable laws and regulations

Violations may result in immediate license termination without refund and removal of access to Services. Report abuse to abuse@undodisk.com.

4. Intellectual Property

All intellectual property in the Software, Website, documentation, logos, and trade dress is the exclusive property of UndoDisk Technologies, protected by Canadian copyright law and international treaties. “UndoDisk,” the UndoDisk logo, and “Ctrl+Z for your drive” are trademarks of UndoDisk Technologies. The EULA §9 contains the complete IP restrictions for the Software.

The User retains all ownership rights to their own data. The Licensor claims no ownership over data scanned, recovered, or processed by the Software.

By submitting feedback, suggestions, or ideas, you grant UndoDisk Technologies a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose.

5. Payment & Refunds

LemonSqueezy operates as the merchant of record for all UndoDisk purchases. Prices are listed on undodisk.com and may change; existing licenses are not affected by price increases. The Licensor offers a 30-day money-back guarantee on all paid tiers — no reason required. Full details are in the Refund Policy.

6. Termination

The Licensor may suspend or terminate your access immediately if you breach these Terms or engage in conduct exposing the Licensor to legal liability. For non-material breaches, 14 days’ written notice and an opportunity to cure will be provided. You may stop using UndoDisk at any time by ceasing use and deactivating your license. Upon termination, Sections 4, 7, 8, and 9 survive.

7. Disclaimer & Limitation of Liability

The warranty disclaimers, limitation of liability, assumption of risk, and indemnification provisions in the EULA §§4–8 are incorporated by reference and apply to these Terms. For Services specifically (website, license server, support channels), the Licensor’s total aggregate liability shall not exceed CAD $100. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict-of-law provisions.

Before formal proceedings, you agree to contact legal@undodisk.com and attempt informal resolution for 30 days. Unresolved disputes shall be settled by binding arbitration under the Arbitration Act, 1991 (Ontario), conducted in English in Toronto, Ontario.

Consumer-rights savings clause: The arbitration clause does not apply to the extent prohibited by the Consumer Protection Act, 2002 (Ontario) or other applicable consumer-protection legislation. Ontario consumers retain the right to bring CPA claims in Superior Court and to participate in class actions. For EU/EEA consumers, mandatory consumer protections of your habitual residence are preserved per Rome I Regulation Art. 6(2).

9. Changes to Terms

The Licensor may update these Terms at any time. Material changes require 30 days’ advance notice and affirmative re-acceptance on next application launch. Non-material changes (typos, clarifications) take effect upon publication.

10. General Provisions

If any provision is held unenforceable, the remaining provisions continue in full force. These Terms, together with the EULA, Privacy Policy, and Refund Policy, constitute the entire agreement. Failure to enforce any provision is not a waiver. The User may not assign these Terms without written consent; the Licensor may assign freely (with 30 days’ notice to Users). These Terms are drafted in English; for Quebec Users, the French version prevails per the Charter of the French Language.
